Welcome to Migration Assistant. These Terms of Service ("Terms") govern access to and use of our software platform, websites, and related services (collectively, the "Services") made available to registered migration agents, licensed immigration advisers, and approved migration law practices (collectively, "Customers"). By accessing or using the Services, you confirm that you are authorised to act on behalf of a regulated migration practice and agree to be bound by these Terms.

Acceptance of Terms

By creating an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

Service Description

Migration Assistant provides practice management and AI-supported visa eligibility assessment software designed for regulated migration professionals operating in Australia, New Zealand, and Canada. Our Services include:

• Automated visa eligibility analyses with audit-ready reasoning
• Client intake workflows, document management, and collaboration tools
• Compliance monitoring, legislative updates, and reporting dashboards
• Professional resources, training materials, and support for migration teams

Important: The Services are provided exclusively to regulated professionals. Assessments and recommendations generated by Migration Assistant are decision-support tools and do not constitute legal, immigration, or professional advice. You remain responsible for independently verifying information, applying professional judgment, and complying with all relevant legislation. Migration Assistant is not affiliated with any government immigration department, and our outputs are not official immigration determinations.

User Account and Registration

Access to the Services is invite-only. You must provide accurate, current, and complete information during onboarding, including evidence of professional registration (e.g., MARN or IAA number) where applicable. You agree to:

• Notify us immediately if your regulatory accreditation lapses or changes
• Maintain and promptly update practice and user information
• Ensure access is limited to authorised personnel within your organisation
• Maintain the security of your account credentials and authentication methods
• Accept responsibility for all activities conducted under your organisation’s account

You are responsible for maintaining the confidentiality of account passwords and ensuring only appropriately qualified individuals access the Services.

User Responsibilities

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Provide false, inaccurate, or misleading information
• Violate any applicable local, state, national, or international law
• Infringe upon the rights of others, including intellectual property rights
• Transmit any harmful, offensive, or unlawful content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Use automated systems to access our services without authorization
• Resell, redistribute, or sublicense our services without permission
• Provide consumer-facing assessments or advice without professional oversight

Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and algorithms, are owned by Migration Assistant or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.

Accuracy of Information

While we strive to provide accurate and up-to-date information, we make no representations or warranties regarding the accuracy, completeness, or reliability of:

• Visa eligibility assessments and calculations
• Points calculations and scores
• Visa requirements and regulations
• Processing times and costs
• Third-party information or links

Immigration laws and requirements change frequently. We recommend that you verify all information with official government sources and consult with qualified immigration professionals before making any decisions based on our assessments.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIGRATION ASSISTANT SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use or inability to use our services
• Errors, omissions, or inaccuracies in our assessments or content
• Decisions made based on information provided by our services
• Any unauthorized access to or use of your data

Our total liability to you for all claims arising from or related to these Terms or our services shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that our services will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of our assessments
• Warranties that defects will be corrected

You assume all risk for your use of our services. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Migration Assistant, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney's fees) arising from:

• Your use of or access to our services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit or transmit through our services

Service Availability

We strive to maintain continuous availability of our services, but we do not guarantee that our services will be available at all times. We may experience downtime due to maintenance, updates, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

Termination

We reserve the right to suspend or terminate your account and access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will cease immediately.

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

Third-Party Links and Services

Our services may contain links to third-party websites or services that are not owned or controlled by Migration Assistant. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Migration Assistant shall not be responsible or liable for any damage or loss caused by your use of any third-party services.

Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using our services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from or relating to these Terms or our services shall be resolved through binding arbitration or in the appropriate courts, as applicable.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Migration Assistant regarding your use of our services and supersede all prior agreements and understandings.
